Terms and Conditions

The following Terms and Conditions ("Terms") establish a legally binding contract between Experglobal, referred to as the "Company," and any entity or individual utilizing the Company's services, henceforth referred to as the "Client." These Terms outline the provision of services and associated activities by the Company to the Client.

Upon engaging the Company's services, the Client acknowledges and accepts the terms laid out herein. It is advised to thoroughly review these Terms before entering into any agreement with the Company. Should the Client disagree with any aspect of these Terms, it is recommended to refrain from utilizing our services.

1. Services offered

1.1 The Company's expertise lies in procurement services, encompassing activities such as sourcing, purchasing, quality control, logistics coordination, and supplier management. However, these services are not confined to these activities and may extend to other related tasks. The precise services delivered to the Client will be detailed in a separate agreement or proposal.

1.2 The Company will exert reasonable endeavors to meet the Client's procurement requirements as per the mutually agreed scope of work.

2. Engagement and Fees

2.1 By signing a distinct agreement or proposal, the Client commits to engaging the Company for procurement services. This document will delineate the scope of work, fees, payment terms, and any other pertinent conditions.

2.2 The Client undertakes to remunerate the Company the fees stipulated in the agreement or proposal for the services provided. The terms of payment, encompassing deadlines and methods, will be specified in the agreement or proposal.

2.3 Should the Client request supplementary services beyond the scope of the initial agreement, the Company reserves the right to levy additional fees, contingent upon mutual accord.

3. Responsibilities of the Client

3.1 It is the Client's responsibility to furnish the Company with all requisite information, specifications, and requirements pertinent to the procurement project promptly.

3.2 The Client commits to collaborating with the Company throughout the procurement process, encompassing activities such as supplier selection, quality control procedures, and logistics coordination, among others.

3.3 The Client bears the financial responsibility for all expenses linked to the procurement project, covering costs such as goods, shipping, import duties, taxes, and any supplementary expenditures delineated in the agreement or proposal.

4. Responsibilities of the Company

4.1 The Company will exert its utmost endeavors to source and provide the goods or services outlined in the agreement or proposal.

4.2 Quality control inspections will be conducted by the Company in accordance with the agreed-upon scope of work to ascertain that the procured goods adhere to the specified standards and requirements.

4.3 The Company will oversee logistics and shipping arrangements as detailed in the agreement or proposal.

4.4 Confidentiality concerning the Client's business and procurement operations will be upheld by the Company.

5. Quality Assurance

5.1 While the Company will endeavor to ensure that the procured goods or services adhere to the specified quality standards, it should be noted that the Company does not offer any warranties or guarantees regarding the quality or suitability for a specific purpose of the procured goods or services.

6. Liability

6.1 The Company bears no responsibility for any direct, indirect, incidental, consequential, or special damages arising from or in connection with the procurement services, encompassing but not confined to profit loss, data loss, or business operations interruption.

6.2 Should the Company be found liable; it shall be restricted to the fees paid by the Client for the particular procurement project giving rise to the claim.

7. Termination

7.1 Termination of the procurement services engagement by either party is permissible through written notice adhering to the termination provisions delineated in the agreement or proposal.

7.2 Upon termination, the Client assumes responsibility for any fees or costs accrued by the Company up to the termination date.

8. Confidentiality

8.1 Both parties mutually agree to uphold the confidentiality of all exchanged information throughout the duration of the engagement. This includes, but is not limited to, business strategies, supplier information, and procurement specifics.

9. Governing Law and Jurisdiction

9.1 These Terms and the engagement between the Company and the Client shall be governed by and interpreted in accordance with the laws of Maldives, without consideration for its conflict of law principles.

9.2 Any disputes arising from or related to these Terms or the engagement shall be exclusively subjected to the jurisdiction of the courts of Maldives.

10. Entire Agreement

10.1 These Terms, combined with any separate agreement or proposal duly signed by both parties, encompass the entire agreement between the Company and the Client concerning the provision of procurement services, overriding all preceding agreements and understandings, whether verbal or written.

By engaging the Company's procurement services, the Client acknowledges having thoroughly read, comprehended, and consented to these Terms and Conditions.
